S, for STRUCTURE.

Every private placement deal is STRUCTURED differently.

You want to look for deals where your shares are about the same price as for company insiders.

You don’t want insiders owning shares at 5 cents when you are paying a dollar.

And, you also want insiders whose shares are locked up after the IPO so you can sell your shares before them.

Plus, you want this warrant kicker I mentioned.

Again, warrants are free bonus shares that you can sell if the stock hits a future price.

And then hold on to the warrants.
